PROGRESS REPORT
Dear Stockholder,
Five months ago I informed you about the progress of your company. I think you will be pleased with developments that have
transpired since that letter. We have met many times with our securities attorneys and accountants. These gentlemen are
professional, capable, and intent upon helping to resolve the inordinate number of challenges and helping create proper solutions.
I believe we have arrived at a plan designed to ultimately solve the current problems in a relatively short amount of time.
Allow me to explain. Seven central players have a long list of assignments to complete. We have withdrawn the filings made
previously with the S.E.C. We are awaiting final approval of the withdrawal. We will abrogate International Surfacing Inc., and
establish International Stealthshoe, Inc. We will close the old company and eliminate the corresponding problems. We will create a
new corporation that is clean and healthy. It is improper for me to project when we will trade, but I can say that it is not going to take
nearly as long to file a Chapter 11, (or reorganization plan) and file for a new corporation, enter into a merger/acquisition agreement,
and conjoin with a clean, tradable, trading shell, than it would be to continue to try to clean up the old shell. All of our assets will be
acquired by the new corporation.
The progress with the Stealthshoe is very encouraging. Louis Paulucci has redesigned the shoe completely. The entire team has
done a brilliant job developing the new rubberizing process. Reports have been pouring in from around the country regarding the
tremendous therapeutic improvements that lame horses have enjoyed. Louis owns a horse that several trainers predict will be the
next national champion pacer. The horse has been wearing our shoe and is performing brilliantly. As a test, the horse was trained
without our shoe. The trainer reported that “E-Z Finishing” was brushing his knees and pulling hard to the left. His time was around
2.25. With our rubberized Stealthshoe the horses legs straightened out and he quit pulling left. His time is now 2.05!
We are working with Dr. Doug King, one of the chief dental surgeons for mounted police force officers. He has suggested that he
wants to commission a study to prove that our shoe not only improves the horses’ therapeutic well being, but it also helps reduce
concussive shock to the rider! Our shoe ostensibly mitigates damage to the riders’ spine and even temporal mandibular joint
dysfunction. Ed Zoloty is a Chief of Police in Secaucus, N.J. that works with Dr. King in the capacity of public speaking around the
country for various law enforcement associations. They will be representing our products. We have signed a commission contract
with these gentlemen.
Andre Lebron is one of the best farriers in the tri-state area. We met him in West Milford at a beautiful 99 stable horse farm. He put
our newly designed shoes on a 17 year old local favorite horse that had been lame and sore for over a year. The horse started
tapping his feet, shaking his head up and down, put his ears forward, and started stepping out with a longer and a higher stride.
Andre said that it was absolutely amazing. The horse continues to improve. His new name is Mr. Ed.
I met with Jerry Bellar in New York City and in Baltimore, Maryland. He is the President of Agri-Sales Associates, Inc. They have a
thirty six member sales team and are one of the original agricultural/veterinarian oriented manufacture rep. agencies. Their team
averages app. 12 years experience and has proven to be the best in the industry. I met with the ASA team in Maryland to coordinate
our sales efforts with Dave Erb and Victory Racing Plate Company. Our major concern will be to manufacture our newly designed
shoes with enough speed to build inventory levels large enough to keep up with the projected sales capacity of ASA. This is a good
problem to have! I have signed a contract with ASA and we are still negotiating the overall contract with Victory, ISI and ASA. Victory
has begun distributing our horseshoe “gift box samples” to 300 distributors around the world. ASA has already connected me with
some of the best distributors in eight states. ASA is having a three day “Presidential Round Table” meeting with his entire team,
discussing the sales and marketing roll-out for our horseshoes. We will all be working together in San Antonio, Texas at the
National AAEP Convention. The American Association of Equine Practitioners is one of the predominant trade shows of the year.
This will be the first time that Victory, I.S.I., and A.S.A. will be able to make a joint appearance representing our products. This will
occur December 1st through the 6th, 2006.
Steve Trank has designed the best package for the horseshoe roll-out that I have ever seen, and definitely the best package that the
horseshoe industry has ever witnessed – BY FAR. We have a customized box with three pair of the BEST horseshoes with an ISI
baseball cap, an ISI pen, a set of 4.5 slim shank nails, marketing information Steve has also placed ½ page ads in a number of
equine magazines, including The Horse, ASAs’ magazine, and the Standard Bred Stallion Journal. He and Peter Asimakis are
refurbishing the website.
Peter Asimakis is a new addition to the company, (since July.) He has done an incredible job organizing the entire office. Pete is in
charge of information technology, financials and purchasing, human resources, facilities and logistics, and a host of other projects.
Peter has already cut costs in a number of areas and has significantly reduced our overhead while increasing efficiency.
Chris Flannery has also been working diligently as our lead attorney. We owe Chris a debt of gratitude for his sagacious legal
advice and assistance. Thank you Chris.
